Service Agreement for Coaching Clients – Erik Dominguez

This Service Agreement (“Agreement”) is entered into by and between Erik Dominguez, operating through the Coach’s business entity (“Coach”), and the individual or organization enrolling in coaching services (“Client”).

By enrolling in coaching services, the Client acknowledges and agrees to the terms outlined below.

1. Commitment to Practice

Speaking is a skill that requires consistent practice and effort. While the Coach is committed to providing professional guidance, feedback, and support, the Client acknowledges that improvement depends on the Client’s active participation and completion of assigned work. Responsibility for progress rests solely with the Client.

If required pre-work is not completed, the Coach reserves the right to delay or reschedule coaching sessions until the necessary preparation has been completed.

2. Confidentiality

The Coach agrees to maintain strict confidentiality regarding all matters discussed during coaching sessions. Coaching sessions may be recorded for training or review purposes and will remain confidential unless the Client provides explicit written permission to share specific content.

The Coach may request permission to share a coaching video, excerpt, or testimonial; however, no content will be shared without the Client’s express consent.

3. Behind-the-Scenes Coaching

The Client acknowledges that the coaching investment includes not only live coaching sessions but also time spent by the Coach reviewing materials, preparing feedback, and customizing sessions to the Client’s needs. This “offline” work is an essential component of the coaching process and is included in the coaching package.

4. Scheduling and Rescheduling

All coaching sessions are scheduled using the scheduling link provided by the Coach. Due to coaching, business, or travel commitments, the Coach may occasionally request to reschedule a session. The Client agrees that reasonable flexibility by both parties supports the effectiveness of the coaching relationship.

5. Session Frequency and Attendance

To maintain momentum and ensure progress, the Client is expected to schedule and attend at least one (1) coaching session and complete one (1) lesson per month.

If more than three (3) consecutive months pass between sessions without prior communication from the Client, the Coach reserves the right to cancel any remaining sessions without refund.

6. Referral Rewards

For each referral provided by the Client that results in either (a) a new coaching client who enrolls or (b) a workshop or training engagement booked as a direct result of the referral, the Client will receive two (2) additional coaching sessions. Referral rewards are non-transferable and have no cash value.

7. Refund Policy

All coaching sessions and coaching packages are non-refundable. No refunds will be issued for unused, canceled, or forfeited sessions.

8. Sequential Learning and Urgent Sessions

The coaching process is designed to be sequential, as speaking and communication skills develop over time. If the Client requests an immediate session for an upcoming event, such a session may be scheduled at the Coach’s discretion. The Client understands that short-term sessions are not a substitute for long-term skill development.

Sessions may occasionally be conducted out of sequence to best serve the Client’s immediate needs or to support the Coach’s understanding of the Client’s content and context.

9. Client Responsibilities

The Client is responsible for:

• Purchasing and maintaining a Yoodli subscription, if required

• Obtaining any assigned books, materials, or resources

• Arriving prepared for sessions and completing assigned work

Failure to meet these responsibilities may limit the effectiveness of coaching and does not entitle the Client to refunds or additional sessions.

10. No Guarantees

The Client acknowledges that coaching outcomes vary based on individual effort, preparation, and implementation. The Coach makes no guarantees regarding specific results, outcomes, earnings, confidence levels, speaking opportunities, or performance improvements.

All coaching services are provided on an educational and advisory basis only.

11. Limitation of Liability

To the fullest extent permitted by law, the Coach and the Coach’s business entity, affiliates, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to the coaching services.

In no event shall the total liability of the Coach exceed the total amount paid by the Client for coaching services under this Agreement.

12. Professional Disclaimer

The Client understands that coaching services are educational in nature and are not a substitute for legal, medical, mental health, financial, or other professional services. The Client agrees to seek appropriate professional advice as needed.

13. Independent Contractor Relationship

The Coach provides services as an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, employment relationship, or agency relationship between the Coach and the Client.

14. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Iowa, without regard to conflict of law principles. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located within Iowa.

15. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

This Agreement constitutes the entire understanding between the Coach and the Client and supersedes all prior or contemporaneous agreements, representations, or communications, whether oral or written.

17. Acceptance

By enrolling in coaching services, scheduling sessions, or submitting payment, the Client acknowledges that they have read, understood, and agreed to this Service Agreement.
